Terms of Use

1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of the Halo mobile application and related services, including the Halo website at halo-inc.org and the account pages at auth.halo-inc.org (together, the "Services"), provided by Halo ("Halo," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 16 years old to use the Services. By using the Services, you represent that you meet this requirement and that you are able to form a binding agreement with us.
3. Your Account and Security
You are responsible for maintaining the confidentiality of your master password, Recovery Key, and two-factor authentication backup codes, and for all activity that occurs under your account. You agree to provide an accurate email address and to notify us promptly at support@halo-inc.org if you suspect unauthorized access to your account.
Zero-knowledge design. Halo encrypts your vault on your device, and we never receive your master password. As a result, we cannot access, reset, or recover your master password or your vault. If you lose both your master password and your Recovery Key, your vault data will be permanently inaccessible, and we will have no ability to restore it. You acknowledge that this is a deliberate feature of the Services and that we are not responsible for any loss resulting from it.
You are responsible for keeping your own backup of any information that is important to you. You may export your data at any time from within the app.
4. Subscriptions and Billing
Halo Pro. Certain features of the Services require a paid subscription ("Halo Pro"). Subscriptions are offered on a monthly or yearly basis at the prices displayed in the App Store at the time of purchase.
Purchases through Apple. All purchases are processed by Apple through your Apple Account and are subject to Apple's terms. We do not receive or store your payment information.
Free trials. We may offer a free trial for new subscribers. Unless you cancel at least 24 hours before the trial ends, your subscription will begin and you will be charged automatically.
Automatic renewal. Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your Apple Account will be charged for renewal within 24 hours before the end of the current period.
Cancellation. You can manage or cancel your subscription at any time in your Apple Account settings. Cancellation takes effect at the end of the current billing period, and you keep access to Halo Pro features until then.
Refunds. Refund requests are handled by Apple in accordance with its policies. We cannot issue refunds directly.
Price changes. We may change subscription prices. Apple will notify you in advance of any price change, as required by its policies.
If your subscription ends. You can continue to view, export, and delete your existing data, but you will not be able to create or edit items until you resubscribe.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or to store or transmit unlawful content;
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
- Interfere with or disrupt the Services, including by overloading, probing, or attacking our infrastructure, other than through good-faith security research reported to us;
- Circumvent rate limits, device approval, or other security measures;
- Reverse engineer, decompile, or modify the app, except as permitted by applicable law; or
- Resell, sublicense, or commercially exploit the Services without our written permission.
6. Your Content
You retain all rights to the information you store in Halo ("Your Content"). Because Your Content is encrypted on your device, we cannot read it. You grant us only the limited permission necessary to store, transmit, and synchronize Your Content in encrypted form in order to provide the Services. You are solely responsible for Your Content and for ensuring you have the right to store it.
7. Our Intellectual Property
The Services, including the app, its design, logos, and the Halo name, are owned by us and protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the app on Apple devices that you own or control, as permitted by the App Store's usage rules.
8. Third-Party Services
The Services rely on third-party providers, as described in our Privacy Policy, and may display content such as service logos provided by third parties. We are not responsible for third-party services, and your use of them may be subject to their own terms.
9. Apple App Store Terms
Your use of the app is also subject to Apple's Licensed Application End User License Agreement (the "Apple EULA"). In addition:
- These Terms are between you and Halo only, not Apple. Apple is not responsible for the app or its content.
- Apple has no obligation to provide maintenance or support for the app. Support is provided by us at support@halo-inc.org.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection claims, or claims that the app infringes a third party's intellectual property rights.
- You represent that you are not located in a country subject to a government embargo, or designated as a terrorist-supporting country, and that you are not listed on any government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
10. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that reminders and notifications will always be delivered on time. Halo is a tool to help you organize information; it is not a substitute for your own records or professional advice.
11. Limitation of Liability
To the maximum extent permitted by law, Halo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from or related to your use of, or inability to use, the Services. This includes any loss resulting from a lost master password or Recovery Key, a missed renewal or expiry reminder, or unauthorized access to your account or devices.
To the maximum extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the 12 months before the claim arose or CAD $50.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. Nothing in these Terms limits any rights you have under applicable consumer protection laws that cannot be waived.
12. Indemnification
You agree to indemnify and hold Halo harmless from any claims, losses, and expenses, including reasonable legal fees, arising from your violation of these Terms or your misuse of the Services.
13. Termination
You may stop using the Services and delete your account at any time from Settings. We may suspend or terminate your access if you materially violate these Terms, if required by law, or to protect the security of the Services or other users. Where reasonable, we will give you notice and an opportunity to export your data first. Sections 3, 6, 7, and 10 through 15 survive termination.
14. Changes to the Services and These Terms
We may modify, suspend, or discontinue features of the Services. We may also update these Terms. If we make material changes, we will notify you within the app or by email before they take effect. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable there, without regard to conflict of law principles. Any dispute will be resolved in the courts of Manitoba, unless the consumer protection laws of your place of residence give you the right to bring a claim where you live.
